Mold Ownership, Confidentiality and IP Protection
We encourage buyers to define ownership, permitted use, confidential-file handling, access, maintenance, storage and shipment terms before tooling work begins.
Ownership Must Be Written Into the Transaction
The word “tooling” can cover mold bases, inserts, spare components, gauges, fixtures, drawings, CAD, process knowledge and customer-supplied property. Parties should identify what is being purchased, when title transfers, how it may be used and what happens during storage, repair, shipment or termination.
Property Definition
List the tool, inserts, fixtures, gauges, spare items and documents covered by the commercial agreement.
Permitted Use
State which customer/program the property supports and whether any replication, reuse or third-party access is permitted.
Payment and Title
Connect deposits, milestones, final payment and ownership transfer to explicit commercial language.
Storage and Maintenance
Define storage condition, maintenance responsibility, inactivity, consumables and charges where applicable.
Access and Shipment
Define notice, authorization, account status, packaging, insurance, export/import and shipping responsibility.
Confidential Information
Identify protected files and data, authorized recipients, approved transfer route, retention and return/destruction terms.

Practical File-Handling Approach
- Use the website form for non-confidential project facts.
- State whether an NDA is required before sharing detailed files.
- Agree the authorized recipients and transfer method.
- Send revision-controlled files through the agreed route.
- Record superseded revisions and access changes during the program.
The current website form has no secure upload field, and this page does not add one. That avoids creating the appearance of a protected file portal where none has been verified.
Existing Mold Transfer
Before sending a mold from another supplier, confirm ownership and transfer authority. The physical tool still needs the mold-transfer condition review.
Packaging, freight, insurance, customs/export work, repair and modification may be charged separately. Damage or changes caused by an unauthorized or third-party operator require condition evidence and agreement review rather than an automatic liability assumption.

Do not rely on an assumption. The commercial documents should identify the physical property and digital deliverables, payment milestones, title transfer and permitted use.

Shipment terms should be defined in the agreement and may require ownership verification, settled accounts, safe preparation, export/logistics arrangements and recipient acceptance.

Define Ownership Before Tooling Starts
State the ownership, NDA, file-delivery and future transfer requirements in the RFQ so they can be addressed commercially.
